1. Acceptance of Terms

 

7-Fit Framework welcomes you. 7-Fit Framework provides the 7-Fit Framework Services (defined below) to you subject to the following Terms of Service ('TOS'), which may be updated by us from time to time without notice to you.

By accessing and using the 7-Fit Framework Services, you accept and agree to be bound by the terms and provision of the TOS. In addition, when using particular 7-Fit Framework owned or operated services, you and 7-Fit Framework shall be subject to any posted guidelines or rules applicable to such services, which may be posted and modified from time to time. All such guidelines or rules are hereby incorporated by reference into the TOS. 7-Fit Framework may also offer other services that are governed by different Terms of Service.

2. Right of Modification

 

We reserve the right to change or modify the Terms of Service at our sole discretion at any time. Any change or modification to the Terms of Service will be effective immediately upon posting by us. For any material changes to the Terms, we will take reasonable steps to notify you of such changes. In all cases, your continued use of the Sites after publication of such modifications, with or without notification, constitutes binding acceptance of these modified Terms of Service.

3. Description of 7-Fit Framework Services

 

7-Fit Framework provides users with access to a rich collection of resources (tools, content, forums, databases) related to startup strategy and startup creation (the '7-Fit Framework Services'). You also understand and agree that the 7-Fit Framework Services may include advertisements and that these advertisements are necessary for 7-Fit Framework to provide the 7-Fit Framework Services. You also understand and agree that the 7-Fit Framework Services may include certain communications from 7-Fit Framework, such as service announcements, administrative messages and the 7-Fit Framework Newsletter, and that these communications are considered part of 7-Fit Framework membership. Unless explicitly stated otherwise, any new features that augment or enhance the current 7-Fit Framework Services, including the release of new 7-Fit Framework properties, shall be subject to the TOS. You understand and agree that the 7-Fit Framework Services is provided 'AS-IS' and that 7-Fit Framework assumes no responsibility for the timeliness, deletion, mis-delivery or failure to store any user communications or personalization settings. You are responsible for obtaining access to the 7-Fit Framework Services, and that access may involve third-party fees (such as Internet service provider or airtime charges). You are responsible for those fees, including those fees associated with the display or delivery of advertisements. In addition, you must provide and are responsible for all equipment necessary to access the 7-Fit Framework Services.

You understand that the technical processing and transmission of the 7-Fit Framework Services, including your Content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

4. 7-Fit Framework Privacy Policy

 

You understand that through your use of the 7-Fit Framework Services you consent to the collection and use (as set forth in the applicable privacy policy) of this information, including the transfer of this information to USA, Turkey and/or other countries for storage, processing and use by 7-Fit Framework and its affiliates.

5. Online Courses, Mentorship, and Coaching

 

The Sites will, from time to time, offer online courses in a specific area of study or on a particular topic (an 'Online Course'). 7-Fit Framework and the instructors of the Online Courses reserve the right to cancel, interrupt or reschedule any Online Course or modify its content as well as the point value or weight of any assignment, exam or other evaluation of progress. Online Courses offered are subject to the Disclaimer of Warranties / Limitation of Liabilities section below.

For some courses, subject to your satisfactory performance in the Online Course as determined in the sole discretion of 7-Fit Framework, the instructors and the participating Institutions, you may be awarded a statement acknowledging your completion of the class ('Statement of Accomplishment'). This Statement of Accomplishment, if provided to you, would be from 7-Fit Framework and/or from the instructors. You acknowledge that the Statement of Accomplishment, if provided to you, may not be affiliated with 7-Fit Framework. Further, 7-Fit Framework offers the right to offer or not offer any such Statement of Accomplishment for a class. You acknowledge that the Statement of Accomplishment, and 7-Fit Frameworks Online Courses, will not stand in the place of a course taken at an accredited institution, and do not convey academic credit. You acknowledge that neither the instructors of any Online Course nor the associated Participating Institutions will be involved in any attempts to get the course recognized by any educational or accredited institution, unless explicitly stated otherwise by 7-Fit Framework. The format of the Statement of Accomplishment will be determined at the discretion of 7-Fit Framework and the instructors, and may vary by class in terms of formatting, e.g., whether or not it reports your detailed scores or grades in the class, and in other ways.

6. Data Protection and Disclaimer

The Sites take the protection of your personal information very seriously. We treat your personal information as confidential and will handle it in accordance with data protection legislation as well as with the terms of this statement.

It is possible to use The Sites without providing any personal information. To the extent that it is possible, the provision of personal information (e.g. name, address, email address) to The Sites will remain voluntary. Please note that there can sometimes be security issues when information is transmitted over the internet (e.g. via email). It is therefore not possible to guarantee water-tight protection for data from access by third parties.

When you share your email information with the 7-Fit Framework instructors by any means including but not limited to the Sites, the mentorship sessions, the 7-Fit Score survey, the coaching sessions, the online courses, in-classroom training, you will be regarded to have opted in to receiving emails from the 7-Fit Framework. If you would rather not receive this type of communication, please use the unsubscribe button on the emails to no longer receive those type of communication.

7. Contributions to the 7-Fit Framework

By filling out the 7-Fit Score survey, submitting ideas, suggestions, documents, and/or proposals ('Contributions') to 7-Fit Framework through its webpages or verbally via 7-Fit Framework instructors, you acknowledge and agree that: (a) your Contributions do not contain confidential or proprietary information; (b) 7-Fit Framework is not under any obligation of confidentiality, express or implied, with respect to the Contributions; (c) 7-Fit Framework shall be entitled to use or disclose (or choose not to use or disclose) such Contributions for any purpose, in any way, in any media worldwide; (d) 7-Fit Framework may have something similar to the Contributions already under consideration or in development; (e) your Contributions automatically become the property of 7-Fit Framework without any obligation of 7-Fit Framework to you; and (f) you are not entitled to any compensation or reimbursement of any kind from 7-Fit Framework under any circumstances.

8. Indemnity

 

You agree to indemnify and hold 7-Fit Framework and its subsidiaries, affiliates, officers, agents, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you submit, post, transmit, modify or otherwise make available through the 7-Fit Framework Services, your use of the 7-Fit Framework Services, your connection to the 7-Fit Framework Services, your violation of the TOS, or your violation of any rights of another.

9. Modifications to 7-Fit Framework Services

 

7-Fit Framework reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the 7-Fit Framework Services (or any part thereof) with notice. You agree that 7-Fit Framework shall not be liable to you or to any third party for any modification, suspension or discontinuance of the 7-Fit Framework Services (or any part thereof).

10. Payment Terms

 

The current fee for the Service (online class, mentoring, coaching, subscription) you have selected will automatically and immediately be charged to your payment instrument or account on the date that you complete your ordering process. Fees charged for one Service may not be credited towards other services.

11. Links

The 7-Fit Framework Services may provide, or third parties may provide, links to other World Wide Web sites or resources. You acknowledge and agree that 7-Fit Framework is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that 7-Fit Framework shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such site or resource.

12. 7-Fit Framework's Proprietary Rights

 

You acknowledge and agree that the 7-Fit Framework Services, Content and any necessary software used in connection with the 7-Fit Framework Services ('Software') contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in advertisements or information presented to you through the 7-Fit Framework Services or by advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly permitted by applicable law or as authorized by 7-Fit Framework or the applicable licensor (such as an advertiser), you agree not to copy, reproduce, modify, rent, lease, loan, sell, distribute, transmit, broadcast, publicly perform or create derivative works based on the 7-Fit Framework Services, such as Content or the Software, in whole or in part. The burden of determining that your use of any information, software or any other content on the Site is permissible rests with you.

7-Fit Framework grants you a personal, non-transferable and non-exclusive right and license to use the content provided that you do not (and do not allow any third party to) copy, modify, create a derivative work from, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Software or content. You agree not to modify the Content in any manner or form, nor to use modified versions of the Content, including (without limitation) for the purpose of obtaining unauthorized access to the 7-Fit Framework Services. You agree not to access the 7-Fit Framework Services by any means other than through the interface that is provided by 7-Fit Framework for use in accessing the 7-Fit Framework Services. You agree that you will never divulge or share access or access information to your User Account with any third party for any reason.

13. Disclaimer of Warranties

 

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

1. YOUR USE OF THE 7-Fit Framework SERVICES AND SOFTWARE ARE AT YOUR SOLE RISK. THE 7-Fit Framework SERVICES AND SOFTWARE ARE PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS. 7-Fit Framework AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

2. 7-Fit Framework AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS MAKE NO WARRANTY THAT (i) THE 7-Fit Framework SERVICES OR SOFTWARE WILL MEET YOUR REQUIREMENTS; (ii) THE 7-Fit Framework SERVICES OR SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE 7-Fit Framework SERVICES OR SOFTWARE WILL BE ACCURATE OR RELIABLE; (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE 7-Fit Framework SERVICES OR SOFTWARE WILL MEET YOUR EXPECTATIONS; AND (v) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.

3. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE 7-Fit Framework SERVICES OR SOFTWARE IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR AND HEREBY WAIVE ANY AND ALL CLAIMS AND CAUSES OF ACTION WITH RESPECT TO ANY DAMAGE TO YOUR COMPUTER SYSTEM, INTERNET ACCESS, DOWNLOAD OR DISPLAY DEVICE, OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

4. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM 7-Fit Framework OR THROUGH OR FROM THE 7-Fit Framework SERVICES OR SOFTWARE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TOS.

5. A SMALL PERCENTAGE OF USERS MAY EXPERIENCE EPILEPTIC SEIZURES WHEN EXPOSED TO CERTAIN LIGHT PATTERNS OR BACKGROUNDS ON A COMPUTER SCREEN OR WHILE USING THE 7-Fit Framework SERVICE. CERTAIN CONDITIONS MAY INDUCE PREVIOUSLY UNDETECTED EPILEPTIC SYMPTOMS EVEN IN USERS WHO HAVE NO HISTORY OF PRIOR SEIZURES OR EPILEPSY. IF YOU, OR ANYONE IN YOUR FAMILY, HAVE AN EPILEPTIC CONDITION, CONSULT YOUR PHYSICIAN PRIOR TO USING THE 7-Fit Framework SERVICE. IMMEDIATELY DISCONTINUE USE OF THE 7-Fit Framework SERVICES AND CONSULT YOUR PHYSICIAN IF YOU EXPERIENCE ANY OF THE FOLLOWING SYMPTOMS WHILE USING THE 7-Fit Framework SERVICE: DIZZINESS, ALTERED VISION, EYE OR MUSCLE TWITCHES, LOSS OF AWARENESS, DISORIENTATION, ANY INVOLUNTARY MOVEMENT, OR CONVULSIONS.

 

14. Limitation of Liability

 

YOU EXPRESSLY UNDERSTAND AND AGREE THAT 7-Fit Framework AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY PUNITIVE, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF 7-Fit Framework HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (a) THE USE OR THE INABILITY TO USE THE 7-Fit Framework SERVICE; (b) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES; (c) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (d) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE 7-Fit Framework SERVICE; OR (e) ANY OTHER MATTER RELATING TO THE 7-Fit Framework SERVICE.

 

15. Exclusions and Limitations

 

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS OF SECTIONS 19 AND 20 MAY NOT APPLY TO YOU.

 

16. Notice

 

7-Fit Framework may provide you with notices, including those regarding changes to the TOS, including by but not limited to email, regular mail, SMS, MMS, text message, postings on the 7-Fit Framework Services, or other reasonable means now known or hereafter developed. Such notices may not be received if you violate this TOS by accessing the 7-Fit Framework Services in an unauthorized manner. Your agreement to this TOS constitutes your agreement that you are deemed to have received any and all notices that would have been delivered had you accessed the 7-Fit Framework Services in an authorized manner.

 

17. Trademark Information

 

You agree that all of 7-Fit Framework’s trademarks, trade names, service marks and other 7-Fit Framework logos and brand features, and product and service names are trademarks and the property of Perzonalization Inc. (the '7-Fit Framework Marks'). Without Perzonalization Inc.’s prior permission, you agree not to display or use in any manner the 7-Fit Framework Marks.

You and 7-Fit Framework each agree that the TOS and the relationship between the parties shall be governed by the laws of the courts of Delaware, United States of America without regard to its conflict of law provisions and that any and all claims, causes of action or disputes (regardless of theory) arising out of or relating to the TOS, or the relationship between you and 7-Fit Framework, shall be brought exclusively in the courts located in Delaware, United States of America. You and 7-Fit Framework agree to submit to the personal jurisdiction of the courts located within the Delaware, United States of America, and agree to waive any and all objections to the exercise of jurisdiction over the parties by such courts and to venue in such courts.
